Corporate deals round-up

Slaughter and May (Jeff Twentyman, Scott Nicholls) advised UK property developer Taylor Woodrow on its public offer to acquire Wilson Connolly for £480.5m in cash and shares. Herbert Smith and Gleiss Lutz/Stibbe acted for Wilson Connolly.

Shearman & Sterling (George Casey, Isabella Chauvet) and Sullivan & Cromwell (Garth Bray, Richard Morrissey) advised France Telecom on its public offer to acquire a 13.72 per cent stake in Orange. The acquisition was conducted by way of a share swap, valued at E6.57bn (£4.62bn). Slaughter and May (Nigel Boardman, Alexander Blackburn) with Bredin Prat (Didier Martin) acted for Orange.

Simpson Thacher & Bartlett and Wachtell Lipton Rosen & Katz advised Blackstone Group on its $4.2bn (£2.64bn) acquisition of Italian textile maker Ondeo Nalco from Suez. Sullivan & Cromwell, Davis Polk & Wardwell and Mayer Brown Rowe & Maw all acted for Ondeo Nalco.

White & Case (Francois Leloup, Nicholas Huet), Shearman & Sterling (Niels Dejean) and Darrois Villey Maillot Brochier advised a private equity consortium comprising Carlyle Group and Eurazeo on the E400m (£281.3m) acquisition of French clay manufacturer Terreal from Saint-Gobain. Bredin Prat (Elena Baxter, Sebastian Prat) acted for Terreal.

McGrigor Donald (Paul Pignatelli, Andrew Wardrop) acted for UK private equity firm West Coast Capital on its acquisition of the greeting card chain Birthdays Group for more than £60m. Eversheds (Helen Ridge, Chris Moss) advised Birthdays Group.

DLA (Steven Devlin, Jonathan Watkins) advised Enterprise Managed Services on its acquisition of the utility services unit of Subterra from Thames Water for £19m. Olswang acted for Subterra.

Jones Day Gouldens (Daljit Singh, Simon Chalkley) acted for UK private equity firm Primary Capital in backing the management in the buyout of Yo! Sushi for £5.07m. Primary Capital will acquire 60.5 per cent and the management 17.5 per cent. Shaw Pittman (Charles Severs) advised Yo! Sushi.
