Winter warmer for Taylor Joynson

Former Biddle senior partner Martin Winter has won three new clients for Taylor Joynson Garrett's private equity department since he moved to the firm in May. He has already completed a deal for one of them, Legal & General Ventures, on its acquisition of Craegmoor Healthcare Group.
Craegmoor is the UK's largest nursing home operator. Legal & General Ventures, the private equity arm of insurance firm Legal & General, is understood to have acquired Craegmoor for around £220m, although the exact value of the deal has not been officially disclosed.
Winter did not advise Legal & General Ventures while at Biddle; he won the work through a longstanding connection with one of the directors at Legal & General Ventures. The director, whom Winter declined to name, had instructed him while working at another private equity house.
The transaction, said Winter, took five weeks from preferred bidder status. His other two new clients cannot be named, he said, as the transactions he is working on for them are not yet completed.
Winter remains modest about bringing three new clients to Taylor Joynson in as many months.
“I don't want to be too trium-phant,” he said. “These things are like buses. Sometimes you get nothing, then three come along at once.”
Legal & General Ventures purchased Craegmoor from its existing shareholders, principally Warburg Pincus. The shareholders were advised by Barlow Lyde & Gilbert corporate partner Peter Hill.
Hill describes Craegmoor as “a longstanding client of the firm”.
In November 2000, Barlow Lyde completed a £110m securitisation for the group. “We've had a long and good relationship with the company, and we hope to continue the relationship,” said Hill.
Travers Smith Braithwaite partner Nicholas Moore acted for the managers of Craegmoor.
