Schoenherr has advised Adriaplin, the Slovenian subsidiary of Eni, on the acquisition of Mestni Plinovodi, a local natural gas distribution network operator and gas supplier, from a consortium of sellers consisting of gas distributors Ireti and ACSM-AGAM from Italy and Istrabenz Plini from Slovenia.

The share purchase agreement was signed on 22 December 2017 and, following the fulfilment of the underlying conditions precedent (including merger control clearance), the transaction was successfully closed on 9 March 2018 in Ljubljana.

Adriaplin is a natural gas distributor and distribution system operator in Slovenia. As a subsidiary of Italian energy company ENI, Adriaplin supplies about 80 million cubic meters of natural gas annually to more than 13,500 customers in Slovenia. As a distribution system operator, Adriaplin has built about 500 km of gas pipelines, and continues to develop and maintain its gas network.
