An innovative deal on Taiwan Cement Corporation’s privatisation of TCC International Holdings Limited, on which Ogier advised, has been recognised with a hat-trick of awards.

The deal was recognised with the awards for Most Innovative M&A Deal of the Year, Most Representative M&A Deal of the Year Award, and Best Cross-Strait M&A Deal of the Year at the Mapect Taiwan M&A Awards 2017.

The award ceremony in Taipei was organised by the Taiwan Mergers & Acquisitions and Private Equity Council and Business Today magazine, and Tsai Ing-Wen, president of Taiwan, gave the keynote speech at the event.

Ogier worked closely with Sullivan & Cromwell on the deal, which was structured through a Cayman Islands scheme of arrangement.

Partners Nathan Powell and Oliver Payne led the Ogier team, which included senior associate Florence Chan and associate Edwin Gomez in Hong Kong, and Senior Associate Shaun Maloney in Cayman.

Nathan said: “As a firm we pride ourselves on innovation and new approaches, so it is particularly pleasing to be part of the innovative work on this deal.”

Oliver said: “We see increasing use of Cayman schemes of arrangement for restructuring and the Taiwan Cement Corporation matter is an excellent example.”
