DLA Piper and Sullivan & Cromwell land key roles on Allied Minds £398m IPO

DLA Piper and Sullivan & Cromwell have advised Boston-based technology company Allied Minds on its initial public offering (IPO) and admission to trading on the London Stock Exchange.

The offer price was set at 190 pence per share valuing the company at £398m.

Allied Minds began conditional trading in shares at 8am on Friday (20 June) and unconditional trading on the main market and admission to the premium-listing segment are scheduled to begin today (25 June).

DLA Piper’s team was led by international head of corporate Charles Severs. Also on the team was head of EMEA capital markets Alex Tamlyn, senior associates Martin Penn and Louise Barber, associate Johannes Poon and trainee Bhav Parekh.

DLA Piper corporate partner Yunus Maka and associate Phebe Hemmings advised on the reorganisation.

The firm’s Boston team included former partner Michael Turner, associate Christopher King and attorney Tim Fuhriman.

Sullivan & Cromwell advised the underwriter Jefferies International Ltd which is acting as sponsor and bookrunner for the listing.

Sullivan & Cromwell’s team was led by head of European M&A Tim Emmerson, with corporate finance partner David Rockwell and associate Graeme Semon.

Background to the deal:

DLA Piper’s Boston office had been advising Allied Minds on various matters, primarily fundraising and licensing, since 2010.

The firm was then appointed to lead on the London market IPO due to its presence in both the UK and US.

During the IPO process DLA’s Boston-based lead partner Michael Turner suggested that due to the complexities involved with the company going public it should employ in-house counsel, which it didn’t previously have.

He helped draft the specifications and after the recruitment process had finished Allied Minds asked him to join as general counsel, which he did.

Turner began the in-house role on 27 May having completed all work associated with the IPO on the DLA Boston side.
