Corporate deals round-up

Travers Smith Braithwaite (Andrew Gillen) acted for Centaur Holdings and Numis on the £145m accelerated initial public offering of Centaur on the Alternative Investment Market. Macfarlanes (Charles Martin) advised Centaur Communications.

Memery Crystal (Nick Davis) advised Collins Stewart as nominated adviser and broker to Ingenta on its placing of 26.26 million new shares. The placing, set to raise some £3m, is conditional upon the passing of resolutions at an extraordinary general meeting. Travis Smith Braithwaite acted for Ingenta.

CMS Cameron McKenna (John Burton) is representing Informa Group on its £1.1bn merger with publisher Taylor & Francis Group. The merger, which will create T&F Informa, is expected to complete in May 2004. Taylor & Francis Group has instructed Ashurst (Paul Gadd).

Freshfields Bruckhaus Deringer (Mark Trapnell) advised Danish security group Group 4 Falck on its merger with Securicor. Herbert Smith (Stephen Hancock) acted for Securicior. Clifford Chance (Guy Norman) represented Morgan Stanley as financial adviser to Securicor.

DLA implemented a Chinese wall to advise both the target and the acquirer on Quintessential Hotels’ purchase of the Midland Hotel and Conference Centre. A Leeds team, headed by Wendy Harrison, advised Quintessential Hotels, while a team in London, led by Andrew Carpenter, acted for the Midland Hotel and Conference Centre.

Ashurst (Nick Angel, Ian Mason) has advised Parmalat Food Holdings (UK) on the sale of its dairy business to United Dairy Farmers. Parmalat Food Holdings is the holding company for the UK buiness of the insolvent Parmalat Group. United Dairy Farmers was advised by Belfast firm Tughans.

Forsters (Glenn Dunn) advised Clerical Medical Investment Group on the purchase of Jeyes Distribution Centre from Iceni House Investments. Iceni was advised by Richard Pearlman & Co (Richad Pearlman, Barry Kleinberg).
