William Rosoff's final deal for Davis Polk & Wardwell was the sale of Nabisco Holdings to rival Philip Morris. Davis Polk's team also included senior corporate partner Paul Kingsley. He worked closely with Ashurst Morris Crisp which advised on EC and competition issues connected to the $18.9bn (£13.1bn) deal. Ashursts won the work following a referral from Davis Polk after the firms worked together for Nabisco on the £1.26bn United Biscuits deal. The sale to Philip Morris was completed through a complex structure. After the sale of Nabisco Holdings, its parent company Nabisco Group Holdings was sold to RJ Reynolds Tobacco Holdings.
