Mayer Brown bags Inter-Alliance work

Mayer Brown Rowe & Maw is advising new client Inter-Alliance Group on its takeover offer of HST Financial. Inter-Alliance, which is an independent financial advisory group, has in the past been advised by Lawrence Graham.
The client was first introduced to Mayer Brown corporate partner Stephen Bottomley at the in-house conference organised by The Lawyer in Monte Carlo last year. “We were introduced by a contact at Altium Capital [a corporate finance company],” said Bottomley. “We've worked with Altium on previous occasions and worked with them on this deal.”
Bottomley is being assisted on the deal by Laurie-Lynn Pursall and Michelle Corneby.
Addleshaw Booth & Co is acting on behalf of the shareholders of HST Financial, which is an independent financial advisory group belonging to Sun Life Financial of Canada.
Inter-Alliance made an agreed 98.1p per share bid for HST, valuing the company at £12m enterprise value. As yet the offer is not unconditional, but Inter-Alliance has received irrevocable commitments to accept the offer from all of the directors and certain other shareholders, which accounts for more than 90 per cent of the group's existing capital.
Freshfields Bruckhaus Deringer partner Robert Stirling is advising Sun Life Financial.
