M&A / Commercial and Corporate Law

ELIG represents local and multinational conglomerates in numerous M&A projects and the M&A team have vast experience and capability in handling multiple and significant transactions, reorganisations, joint ventures and spin-offs.

The firm’s corporate team have a solid practice in providing commercial and corporate law services to corporations, advising foreign clients during their entry to the Turkish market, and daily operations thereafter.

Mr. Tunç Lokmanhekim leads the corporate and M&A practice at ELIG and has co-edited a book on M&A transactions entitled M&A Transactions Under Turkish Law, authored jointly by the members of the firm and available in Turkish and English. This is the first book in Turkish legal literature on how to structure M&A transactions under Turkish law.


Competition Law

Competition law is one of ELIG’s key practice areas. ELIG has the largest and most recognised competition practice in Turkey. The team consists of 36 dedicated competition law specialists and is led by Mr. Gönenç Gürkaynak, the firm’s managing partner and a lawyer with many years’ competition law experience in Turkey, Brussels and the US. In addition to unparalleled experience in merger control issues, ELIG has vast experience in defending companies before the Turkish Competition Board in all phases of antitrust investigations.

ELIG represent clients in the widest variety of competition law matters, while also collaborating with numerous international law firms. The firm’s broad client base includes national and multinational corporations, conglomerates, business associations, financial institutions, partnerships and individuals.

Throughout 2015, ELIG’s competition law team was involved in over 45 merger clearances by the Turkish Competition Authority and more than 20 written and oral defences before the Turkish Competition Board, and over 10 appeals before the administrative courts. ELIG also provided more than 40 antitrust education seminars to employees of its clients.


Anti-corruption

As a leading law firm, one of the significant practices of ELIG relates to assisting clients on white collar irregularities, internal investigations and compliance matters. The firm has a significant practice in Turkey focusing on internal investigations and white collar criminal matters. Among other things, the practice advises clients in connection with Turkish corporate compliance issues under the relevant OECD Convention, FCPA, the UK Bribery Act and under the Turkish anti-corruption laws. This includes all matters relating to data privacy, employment law, anti-corruption policies and other related aspects of the Turkish legal regime.

ELIG has developed and implemented work plans for a large number of internal investigations conducted on the Turkish operations of multinational companies and large Turkish conglomerates. The firm frequently coordinates with clients’ external and internal counsel located outside Turkey. As part of its extensive experience, ELIG has interviewed hundreds of employees, drafted disclosure petitions, handled public and government relations aspects of projects, prepared due diligence reports, provided dozens of FCPA trainings, and helped clients adopt and implement policies for detecting and ensuring full corporate compliance in Turkey.


IT, Telecommunications and Media

Unlike many local firms in Turkey, ELIG has a recognised and significant practice in IT, telecommunications and media law.

The practice covers domain name disputes, website agreements, internet copyright and internet trademarks, internet-related litigation, regulatory counselling, notice and takedown or judiciary decision enforcement assistance and localisation of telecom agreements and licenses to be signed with carriers.


Litigation and Administrative Law

ELIG is one of the few Turkish law firms that combines an international legal practice with a solid track-record and knowledge of litigation before Turkish civil and administrative courts. ELIG is well-equipped to handle all types of civil legal disputes before the Turkish courts. The firm’s litigation team handles: (i) general civil litigation cases, including unfair competition cases, real estate disputes, shareholding disputes, bankruptcy and execution proceedings, and labour law cases; (ii) intellectual property litigation, including securing and enforcing intellectual property rights such as trade secrets; and (iii) administrative law matters, including arbitration related litigation and competition law litigation.



Banking and Finance

ELIG has considerable experience in providing banking and finance advice to a range of international and domestic clients. The banking and finance team advise lenders or borrowers in financing transactions, project financing, and the restructuring of financing deals and securities packages.


Real Estate

ELIG represents clients in all proceedings and transactions that deal with real property and the structures attached to it, including purchases and sales, construction, mortgages, easements, facility management, restrictive covenants, refinancing, leases, title examinations, quiet title actions and project development. In addition, the firm has particular expertise in shopping center and hotel management contracts and its experience extends to advising on administration and investments concerning free trade zones and organised industrial zones.


Intellectual Property

ELIG provides its clients with a complete range of legal services for protecting and exploiting all types of intellectual property and technology assets. The firm assists its clients in the registration and protection of patents, trademarks, copyrights and industrial designs, and in policing the marketplace and taking prompt action against infringers.

ELIG has successfully prosecuted the unauthorized use of various trademarks in Turkey including the prosecution of unauthorized registration and use of “well-known” trademarks and representation in trademark annulment cases.

Gönenç Gürkaynak

Founding Partner and Managing Partner

He is a founding partner and the managing partner of ELIG, Attorneys-at-Law. 

Mr. Gürkaynak graduated from Ankara University Faculty of Law in 1997, and was called to the Istanbul Bar in 1998. Mr. Gürkaynak received his LL.M. degree from Harvard Law School, and is qualified to practice in Istanbul, New York and Brussels. Mr. Gürkaynak is also a solicitor of the Law Society of England and Wales (currently non-practising).

Before founding ELIG, Attorneys-at-Law in 2005, Mr. Gürkaynak worked as an attorney at the Istanbul, New York and Brussels offices of a global law firm for more than eight years. 

As the head of the Competition Law and Regulatory department of ELIG, Mr. Gürkaynak’s main areas of practice include the fields of competition law, anti-corruption and white collar irregularities, data protection & privacy, Internet law, freedom of expression and fundamental rights and freedoms, compliance projects, contracts law, administrative law and commercial litigation.

Mr. Gürkaynak frequently speaks at conferences and symposia on competition law matters. He has published more than 150 articles in English and Turkish by various international and local publishers. He also holds teaching positions at undergraduate and graduate levels at two universities, and gives lectures in other universities in Turkey.

Tunç Lokmanhekim

Mr. Tunç Lokmanhekim is a founding partner and the senior partner of ELIG, Attorneys-at-Law. He specialises in mergers and acquisitions and corporate law, and is the head of the M&A and Corporate / Commercial Law departments of ELIG.

Mr. Lokmanhekim has advised numerous clients in a range of complex M&A transactions over the years, and also represents clients in various financing transactions.

Mr. Lokmanhekim graduated from the Istanbul University Faculty of Law in 1996 and is a member of the Istanbul Bar Association. Before founding ELIG, Attorneys-at-Law in 2005, he worked as an attorney at the Istanbul offices of prominent international and local law firms. Mr. Lokmanhekim has had numerous international articles published regarding mergers and acquisitions and has co-authored a book on the subject.

Ç. Olgu Kama

Ms. Ç. Olgu Kama is a partner at ELIG, Attorneys-at-Law. She graduated from Istanbul Bilgi University Faculty of Law in 2002, and was called to the Istanbul Bar in 2003. Ms. Kama obtained her first LL.M. degree from Galatasaray University Faculty of Law in 2006 on Law of Economics and her second LL.M. degree from Fordham Law School, New York, in 2008 on Banking, Corporate and Finance Law.

Ms. Kama has been working in the Competition Law and Regulatory department of ELIG for more than seven years, following her years of practice at reputable law firms, and has been a partner in the department since January 2014. She has extensive experience in corporate compliance matters and white collar irregularity projects, contracts law, commercial law, general corporate law and real estate law. Ms. Kama has also authored and co-authored many articles and essays in relation to corporate compliance and white collar irregularities matters.

Mr. K. Korhan Yıldırım is a partner at ELIG, Attorneys-at-Law. Mr. Yıldırım graduated from Galatasaray University Faculty of Law in 2005 and is a member of the Istanbul Bar Association. He has been working with ELIG, Attorneys-at-Law for more than nine years and has been a partner in the Competition Law and Regulatory department since January 2014.

Mr. Yıldırım has extensive experience in competition law, contracts law, tender law, administrative law, real estate law and general corporate and commercial law matters. He has successfully represented numerous multinational and national companies before the Turkish Competition Authority and Turkish courts.  Mr. Yıldırım has also authored and co-authored many articles on competition law and merger control matters, and is a frequent speaker at various conference and symposia.

Ilay Yilmaz

Ms. İlay Yılmaz is a partner at ELIG, Attorneys-at-Law. She joined ELIG in 2008, following her years of practice at reputable law firms. Ms. Yılmaz graduated from Dokuz Eylül University Faculty of Law in 2003 and holds an LL.M. from Bilgi University on Law of Economics. She is a member of the Istanbul Bar.

Ms. Yılmaz works within the Regulatory and Compliance department of ELIG and she contributes to the firm’s experienced Internet law, IT and telecommunications law, media and entertainment law and data protection & privacy law practice teams. Ms. Yılmaz also has considerable experience in contracts law, energy market law and general corporate law. She has also authored and co-authored many articles and essays pertaining to her practice areas, in addition to speaking at conferences and symposia on similar matters.

Mr. Hakan Özgökçen is a partner at ELIG, Attorneys-at-Law. He joined the firm in 2007, graduated from Marmara University Faculty of Law in 2003 and received an LL.M. degree from Istanbul Bilgi University during 2010. Mr. Özgökçen has been a member of the Istanbul Bar since 2005.

He has extensive experience in competition law, mergers & acquisitions, contracts law, administrative law and general corporate law matters. Mr. Özgökçen has represented various multinational and national companies before the Turkish Competition Authority and Turkish courts. In addition, he is active in writing and speaking on competition law matters, having authored and co-authored many articles and essays and spoken at several conferences and symposia.

Ms. Nazlı Nil Yukaruç is a partner at ELIG, Attorneys-at-Law. Following many years of practice at a well-recognized law firm, Ms. Yukaruç joined ELIG in 2012. She graduated from Başkent University in 2005 and holds an LL.M. degree from Queen Mary University of London. She is registered with the Ankara Bar Association.

Ms. Yukaruç’s practice focuses on corporate law, mergers and acquisitions, contracts law and general commercial law. She has authored and co-authored many articles and essays in relation to mergers and acquisitions and corporate law matters.

Ms. Öznur İnanılır joined ELIG, Attorneys-at-Law in 2008. She graduated from Başkent University, Faculty of Law in 2005 and following her practice at a reputable law firm in Ankara, she obtained her LL.M. degree in European Law from London Metropolitan University in 2008. She is a member of the Istanbul Bar.

Ms. Öznur İnanılır became a partner within the Competition Law and Regulatory department in 2016 and has extensive experience in all areas of competition law, in particular, compliance to competition law rules, defenses in investigations alleging restrictive agreements, abuse of dominance cases and complex merger control matters. She has represented various multinational and national companies before the Turkish Competition Authority. Ms. İnanılır has authored and co-authored articles published internationally and locally in English and Turkish pertaining to her practice areas.

Ms. Ceyda Karaoğlan Nalçacı is a counsel at ELIG, Attorneys-at-Law. She graduated from Galatasaray University Faculty of Law and following many years of practice at prominent law firms and companies in Istanbul, she joined ELIG in 2007. Ms. Nalçacı was admitted to the Istanbul Bar in 2004.

She has extensive experience in dispute resolution, employment law, intellectual property law, administrative law, media law, commercial and contracts law and tender law. Ms. Nalçacı has represented various multinational and national companies before Turkish courts and Istanbul Chamber of Commerce. In addition, she has authored and co-authored many articles and essays pertaining to employment law, intellectual property law, commercial and contracts law and media law matters.

Ayşe Güner

Ms. Ayşe Güner joined ELIG, Attorneys-at-Law in 2012 following her practice at a reputable law firm in Istanbul. She obtained her Juris Doctorate from the Southern Methodist University Dedman School of Law, Dallas, Texas, in 2008, and her LL.M. degree from Maastricht University, Netherlands, in 2010, after her graduation from the University of Arizona in 2003. She has been a member of the California Bar since 2009.

Ms. Güner was promoted to counsel in 2016 and has extensive experience in competition law matters. She has represented various multinational and national companies before the Turkish Competition Authority. In addition, she speaks at various university lectures and conferences and has co-authored many articles internationally and locally in English and Turkish on contemporary competition law issues.

Dr. Ekrem Kalkan

Dr. Ekrem Kalkan is a Competition Economics Counsel at ELIG, Attorneys at Law. He joined ELIG in April 2016 after spending more than 18 years in senior positions at the Turkish Competition Authority. These positions included senior competition expert, Director of Economic Research and Head of the Department of Economic Analysis and Research.

Dr. Kalkan is a leading figure in competition economics in Turkey and an important academician in his field. He has authored various academic publications in relation to competition law and economics and spoken at a number of conferences on the subject.

He has extensive experience in complex antitrust investigations, merger notifications and clearances, cartel legislation and enforcement. Dr. Kalkan has also actively contributed to the preparation of secondary legislation for competition law and the development of processes relating to the provision of in-service trainings and certified intern programmes.

Prior to graduating from Middle East Technical University in 2010 with a PhD in Economics specialising in applied industrial organisation and competition policy, Dr. Kalkan obtained an MSc from Tilburg University in the speciality of Economics of Competition and Regulation in 2009 and an MSc in Economics from the University of Montreal in 2000. He completed his BSc in Economics at Middle East Technical University in 1997.
