Debevoise & Plimpton LLP has advised Lauro Cinquantasette (Lauro 57) in its sale of Prime European Therapeuticals (Euticals) to Albany Molecular Research (AMRI). Euticals is a privately held company headquartered in Lodi, Italy, specialising in custom synthesis and the manufacture of active pharmaceutical ingredients.
AMRI financed the €315m transaction through the issuance of approximately 7.1 million shares of AMRI common stock (valued at signing), seller notes totalling €55m and the remainder in cash.
The Debevoise team was led by partner Maurizio Levi-Minzi and included partner Peter A Furciand and associates Vincent J Bianco, Matthew M Delja and Keny Zurita.
