B P Collins has acted for Buckinghamshire-based Simon Elvin Holdings (SEH), advising on a share exchange between SEH and sister company Nigel Quiney Publications (NQP). This was carried out in order to make NQP a subsidiary of SEH, bringing both companies into the same group.
The transaction took place following a larger restructuring process in relation to which B P Collins advised the Simon Elvin group back in 2011, at which time SEH was formed as the group’s holding company and several other companies were brought into the group as subsidiaries of SEH.
The transaction team, led by Victoria Holland, partner, corporate and commercial, involved a share for share exchange between the two companies with no cash consideration payable.
Grant Thornton provided tax and accounting advice throughout the transaction.
