TMT deals round-up

Joelson Wilson advised Earls Court and Olympia in their joint venture with MGM. Subject to legislative change, the joint venture will see an initial investment of £150m to create a 300,000sq ft gaming and entertainment complex in West London.

Weil Gotshal & Manges (Paul Claydon) advised Sciona on its consumer genomics agreement with Genaissance Pharmaceuticals. Under the agreement, Genaissance acquired a 30 per cent interest in the equity share capital of Sciona. Wiggin & Dana advised Sciona.

Clyde & Co (Tim Matthews, Robert Hampton) advised IT services company Microgen on its successful £18m recommended offer for MMT Computing. MMT was advised by Addleshaw Goddard.

Mishcon de Reya (Larry Nathan) advised on the reverse takeover and admission to AIM of Roxspur, now trading as the Telecommunications Group. Mishcons advised mobile wholesale and distribution company PhoneDirect, the main trading arm of Cellular Holdings, on the acquisition of Anglia Telecom Centres and the fixed-line reseller Ventelo Group in the Netherlands and Belgium.

Ashurst Morris Crisp (Andrew Edge) advised Nasdaq and AIM-listed Keryx Biopharmaceuticals on the UK aspects of a $15m (£8.8m) private equity investment by US institutional investors. The deal involves the issue of more than four million new shares. Alston & Bird advised Keryx on US legal issues.

Nicholson Graham & Jones (Howard Kleiman) advised Definitech on its £2m share sale to Medicals Direct Group. Definitech conducts medical examination services for employers. Taylor Wessing advised purchaser Medicals Direct Group.

Olswang (Andrew Peddie) advised the vendors on the £4.75m sale of Oddschecker to ukbetting, the AIM-listed online sports and betting site operator. The deal is conditional on ukbetting shareholder approval and the completion of a placement of ukbetting shares. Addleshaw Goddard advised ukbetting.
