SJ Berwin has scored its first corporate instruction for Nomura, acting on the bank's transfer of one of its major private equity portfolios to new investment company Terra Firma
The company was set up by Nomura financier Guy Hands, who will independently manage those assets currently looked after by the bank's principal finance group. Nomura has ploughed i500m (£307.7m) into Terra Firma for a 10 per cent stake in the company. SJ Berwin also advised the bank on this side of the deal. Linklaters, Nomura's main adviser, is advising Terra Firma, leaving the bank to seek out a new firm for its side of the deal. SJ Berwin has acted for Nomura on a few occasions in the past, but only on minor confidential matters, none of which involved corporate work. Corporate finance partners John Daghlien and Jonathan Blake led the SJ Berwin team. Blake said: "The firm already had a good relationship with Nomura, but this is the first major corporate transaction on which we have acted for them."
