Finance
The Curtis finance group represents borrowers and issuers, as well as lenders and investors, in transactions designed to meet a wide range of debt and equity capital requirements and liquidity needs.
Our clients are active in a broad range of industries including oil and gas; fuel and chemical refining; power generation; highway, pipeline and other infrastructure development; financial services; commodities trading; mining; metals refining; manufacturing; telecommunications; real estate and resort development; shipping and ports; life sciences; and aviation.
Members of the finance group advise clients on domestic and international finance matters in both the institutional and public capital markets. In addition to basic corporate financing transactions, their expertise includes:
- Project finance
- Public-private partnership transactions for infrastructure development

The group frequently advises clients on the following forms of financings, among others:
- Term and revolving loans
- Mezzanine loans
- Senior secured and second-lien financings
- Equipment/facility lease financing
- Receivables and other asset securitisations
- Trade and letter of credit facilities
- Bankers’ acceptances and other commercial credit arrangements
- Credit enhancement structures including monoline insurance

- Commodity hedges
- Credit default swaps and other derivatives
Our finance attorneys work closely with the firm’s other practices to provide advice throughout the life of a transaction — from assisting clients in locating and engaging suitable financial advisers, developing and structuring transactions, preparing and negotiating legal documentation — through post-closing transaction administration, covenant compliance and ongoing liability management. They also work closely with members of the firm’s mergers and acquisitions group to develop transaction structures for financing cross-border acquisitions, and co-ordinate with our restructuring and insolvency group to provide an integrated approach in workouts, restructurings and similar special situation financings.
Curtis is consistently recognised for its finance work on behalf of our clients. Most recently, the group advised Petróleos de Venezuela SA, the national oil company of Venezuela, on the restructuring of approximately $4bn in project financings for four joint ventures established for the production of synthetic crude oil. Latin Lawyer selected that transaction as its 2008 ‘Restructuring Deal of the Year’.
