Capital markets
The Curtis Capital Markets group counsels issuers, underwriters and indenture trustees in a wide range of public and private financings. We assist our clients with the financing process in the world’s established and emerging financial centres. We also regularly counsel private equity firms, hedge funds and other private investors in public and private transactions.
Our Capital Markets group has represented large multinational companies, government-owned enterprises and emerging companies in a diverse range of sectors, including energy, commodities, transportation, manufacturing and distribution, electronics, telecommunications, internet and e-commerce, biotechnology and life sciences, banking and agribusiness. Our industry experience provides us with a clear understanding of each transaction’s particular economic drivers, risks and opportunities.
Whether we are structuring an initial public offering (IPO) for an emerging growth company or a debt offering for a public company financing an acquisition, our clients turn to us for real-world advice in realising their financing goals. As with all of our practice areas, our Capital Markets group offers a level of responsiveness and partner involvement that differentiates us from our peer firms, combined with a commitment to efficiency and partnering with our clients.
Our capital markets experience extends across the continuum, from the highly liquid (public offerings of investment-grade debt) to the less liquid (private financings), including:
- Private placements, PIPEs and other alternative financing vehicles
- IPOs, follow-on and secondary offerings
- Rule 144A and Regulation S offerings
- Convertible, investment-grade and high-yield debt offerings
- Debt exchange offers, tender offers and consent solicitations
- Listings in international markets, including ADRs and GDRs
- Sovereign issues
- Derivatives and structured products
Given the varied complexities of deal structures, our Capital Markets team works closely with our firm’s other practice areas to provide full-service assistance, including selecting underwriters and negotiating agreements, drafting and filing registration statements, structuring corporate boards and crafting governance policies and practices, creating executive compensation plans and optimising tax consequences.
