French firm Darrois Villey Maillot Brochier, Benelux firms De Brauw Blackstone Westbroek and Nauta Dutilh, and US outifts Latham & Watkins and Wachtell Lipton Rosen & Katz have scooped the lead roles on the world’s biggest advertising merger.
The five firms are advising French company Publicis and New York-listed Omnicom on the proposed merger, revealed yesterday, which will create a business with a market capitalisation of around $35bn (£22.7bn) and revenue of nearly $23bn.
The creation of Publicis Omnicom has been approved by both boards and sees the creation of a Dutch holding company with operational head offices in Paris and New York. The company would be listed in New York with a secondary listing on Euronext Paris.
Darrois Villey, Nauta Dutilh and Wachtell Lipton are advising Publicis, while De Brauw and Latham are acting for Omnicom. Jones Day is advising financial advisers Moelis & Company.
Darrois’ team is led by name partner Jean-Michel Darrois, alongside corporate partners Olivier Diaz, Ben Burman and Olivier Huyghues Despointe. Vincent Agulhon is providing tax advice, with Didier Théophile involved on competition law aspects. Agulhon joined the firm earlier this year from Jones Day (30 May 2013) along with counsel Loïc Védie, who is also involved in the Publicis merger.
Meanwhile Wachtell Lipton founder Martin Lipton is providing US advice, with the team also including corporate partners Adam Emmerich and Ante Vucic, tax partner Deborah Paul, competition partner Ilene Gotts, employment partner Michael Segal and restructuring partner Eric Rosof.
Nauta Dutilh’s team advising Publicis on Dutch law is led by corporate partners Hein Hooghoudt and Leo Groothuis. Petra Zijp andn José Weydert are providing capital markets advice, Chris Warner tax advice, and Marc Anker corporate notarial advice.
For Omnicom, De Brauw’s team was led by corporate partner Paul Cronheim, with partners Jan Willem Hoevers, Martin van Olffen and Anja Mutsaers also providing corporate advice. Tax partners Frank Pötgens and Paul Sleurink and employment partner Barbara van Duren-Kloppert are also involved.
Latham’s team was led by corporate partners Mark Gerstein and Brad Faris, securities partner Joel Trotter and litigation partner Jeff Hammel. US corporate partner Timothy FitzSimons and Paris-based Olivier du Mottay and Charles-Antoine Guelluy were also involved, alongside securities partner Alex Cohen in the US and tax partners Nicholas DeNovio and Laurence Stein in the US, Sean Finn in London and Xavier Renardin Paris. Roger Goldman in the US provided litigation advice, US-based Marc Williamson and Brussels partner Michael Egge were involved on antitrust and regulatory matters, and David Della Rocca gave US employment advice.
All the firms involved have previously been instructed by Publicis or Omincom in the past.
