Conyers is regularly involved in the largest, most innovative and complex corporate transactions involving companies in Bermuda, the British Virgin Islands, the Cayman Islands and Mauritius.
We have expertise in all areas of corporate finance, including investment funds; insurance and reinsurance including captives and insurance-linked securities; public companies/IPOs; joint ventures; banking and finance including securitisation and structured finance; capital markets including high-yield debt; asset finance including shipping and aircraft finance; shipping and aircraft registration; partnerships; derivatives; Islamic finance; restructuring and workouts; incorporations and corporate governance; and mergers, amalgamations and redomestications including continuances and discontinuances.
We regularly advise clients listing on various major exchanges, including AIM, LSE, ISE, HKSE, CSX, BSX, Euronext, NYSE and TSE.
Our Funds team has specialised expertise in advising on fund formation and structuring (including constitutional and contractual documentation), incorporation, registered office and secretarial services, regulation and compliance, as well as restructuring, liquidation, insolvency and the winding up of funds.
We have experienced teams of lawyers providing expert advice across the whole range of fund structures (including Shari’a-compliant funds) and asset classes including hedge funds, private equity funds, property funds and infrastructure funds.
Our lawyers act for the majority of Bermuda’s insurance and reinsurance companies and are heavily involved in the formation and structuring of new Bermuda insurance companies.
We are also integrally involved in the burgeoning Cayman Islands insurance industry, which boasts the second-largest domiciliation rate for captives after Bermuda.
In addition, we provide insurance advice in the British Virgin Islands, which continues to grow as it shifts in focus to more varied and sophisticated segments of the insurance market.
We have been significantly involved in the development of insurance legislation in each of these jurisdictions. Our Insurance practice is complemented by experienced corporate, trust and litigation lawyers, and our litigation lawyers regularly provide expert advice in substantial insurance and reinsurance litigation.
Securitisation and structured finance
We have considerable expertise in securitisation transactions and advise on the creation and management of special-purpose vehicles (SPVs) and securitisations in Bermuda, the British Virgin Islands and the Cayman Islands.
As SPVs are often required to be off-balance sheet, we can arrange for ownership of the SPV through a master charitable trust, a specific charitable trust or a purpose trust. Our affiliated service and trust companies around the world can provide for the formation of the trust and SPV and all related administrative services in the jurisdiction that best suits the needs of the promoters.
Our Islamic finance specialists have a detailed understanding of issues governing Islamic finance as applied to offshore structures. We provide advice on asset finance, aviation, banking, corporate, investment funds, real estate, regulatory and structured finance, working closely with leading local and international law firms, Shari’a scholars, banks, asset managers and multinational companies.
We have been involved in some of the most innovative Islamic finance transactions to date.
Shipping and aircraft
Conyers has been at the forefront of the shipping and aviation business for several decades, advising some of the world’s foremost shipping companies, airlines and leasing companies.
We have considerable expertise in asset financing with particular focus on ship and/or aircraft financing and leasing and purchasing transactions. Our lawyers advise clients on all aspects of shipping and aviation finance, including cross-border financings, structured financings, securitisations, ship and aircraft purchases (including portfolio acquisitions), sales (including portfolio sales) and sale-leasebacks and warehouse facilities.
We have a well-established reputation as leading offshore counsel in Russian aviation finance transactions and are also increasingly active in transactions involving other emerging markets, particularly Mauritius and South Africa, and alternative funding sources such as Islamic finance.
Additionally, we are able to advise on IPOs and other capital markets transactions. Our client base includes aircraft financiers, lenders, leasing companies, international credit agencies and export-import banks and airline operators and manufacturers.
Conyers has developed close relationships with many of the world’s leading ship owners, managers, builders, insurers, lawyers and accountants and advises on financial structures tailored to the specific requirements of the shipping industry.
In recent years, we have played an integral role in the restructuring activity of both Bermuda-based corporate groups and of their loan and financial arrangements.
