Pinsent Masons and a City team from US firm Locke Lord have advised on the sale from administration of the UK subsidiary of motorcycle clothing and accessories retailer Hein Gericke.
A Pinsents team led by senior associate James Cameron advised Hein Gericke Motorcycle Equipment UK, a newco set up to acquire Hein Gericke UK, the British arm of the Germany-owned company. Hein Gericke is a legacy client of Scotland’s McGrigors, with which the firm merged earlier this year (6 February 2012).
The Edinburgh team also included relationship partner Seona Burnett, an IP specialist, as well as commercial and IP lawyers Alison Rankine and Elizabeth Chalmers, real estate partner Ian Lyall, real estate senior associate Martin Bogie and employment legal director James Cran.
The legacy McGrigors team was instructed by parent company Hein Gericke Deutschland, whose UK headquarters are in Harrogate, Yorkshire, to advise on the formation of the newco and the acquisition.
Locke Lord advised the administrators, partners Simon Thomas and Shelley Bullman at London and Leeds turnaround group Moorfields Corporate Recovery.
The Texan firm, which launched its City base at the start of 2012, fielded a London team headed by restructuring consultant Dan Kelmanson and corporate partner Graham Spitz.
Real estate specialist Joyce Moore and employment partner Sarah Linton also advised.
The identity of the buyer of the 16 stores, which was found last month, has not been identified.
Background to this deal:
While Pinsents won the Hein Gericke mandate thanks to its merger with McGrigors, Locke Lord’s instruction for the administrators came on the back of a longstanding relationship between Kelmanson and the duo of Moorfields partners. While at his former firm, Gateley, he advised Moorfields partners Thomas and Robert Pick on the administration of Sales Activation Solutions, which filed last year.
Kelmanson recently joined from Gateley, where he was a legal director, and previously worked as a senior associate at Pinsents and a partner at defunct firm Halliwells.
Locke Lord launched in London earlier this year, mostly through a raid on European firm Salans (7 November 2011).
