Fire fighting producer Angus Fire has named the chief legal counsel of Caresteam Health, Nicholas Brown, as its general counsel following a £62m management buyout (MBO) of the business over the summer.
Brown will now build an in-house legal function from scratch after a significant equity stake in the fire hose maker was brought by Lloyds Banking Group’s private equity arm Lloyds Development Capital (LDC) from United Technology Corporation (UTC).
Brown told The Lawyer he will not be conducting a panel review anytime soon, adding that the group would continue to use DLA Piper, which advised on the MBO, for external legal advice.
The Lancaster-based business is the world’s largest manufacturer of firefighting products and technology, with Brown adding that he is most likely to hire a US-based lawyer when the team looks to expand. He is technically Angus Fire’s first GC, with the business previously using UTC’s in-house counsel.
Brown, who trained at Manches, was among the six former Kodak lawyers picked up by Kodak spin-off Carestream Health to set up its European in-house team (28 May 2007). The photographic company sold its healthcare group to US private equity house Onex in January that year.
