Herbies acts for banks on Chinese share offering

Herbert Smith has advised JPMorgan Securities and China International Capital Corporation (CICC) on the $1.16bn (£0.56bn) global offering of shares in Chinese truck manufacturers Sinotruk.

JPMorgan and CICC were the joint global coordinators and book runners on the transaction and turned to Herbert Smith following its work on past transactions in the sector.

“The Sinotruk global offering follows our recent transactions in the automotive industry,” said Hong Kong-based partner Ashley Alder, who led the team working on the deal. “It confirms our position as one of the leading advisers in this sector in mainland China.”

Herbert Smith advised on both Hong Kong and US law with Alder leading a team of six that included US securities partner Kevin Roy.

Sidley Austin advised Sinotruk on matters of Hong Kong law and US law, and instructed DeHeng Law Offices on matters of PRC law.

The transaction included an offering of 702 million new shares, of which 632 million were offered internationally.
