Gouldens helps Vertex bag Plus Integration

Gouldens is advising US business solutions company Vertex Interactive on its expansion plans. The firm is giving English law advice on Vertex's takeover of Dutch office adviser Plus Integration Supply Chain Solutions for $40m (£27.3m).
Senior partner Patrick Burgess has a longstanding relationship with Vertex. He led the team with corporate associates Jerome Lussan and Tom Conway and lawyers from the firm's employment, tax, intellectual property and pensions departments.
Milbank Tweed Hadley & McCloy arranged the documentation and advised on US angles; European firm Nauta Dutilh checked the Dutch, Belgium and German issues.
Lussan said: “We ensured documentation was satisfactory for English law and got all the other countries to agree.”
Plus Integration was advised by US firm Graham Curtin & Sheridan and Baker & McKenzie.
