KWM advises The Trust Company on proposal by Perpetual to acquire its shares
King & Wood Mallesons (KWM) has advised The Trust Company on a proposal announced by Perpetual to acquire all of the shares in The Trust Company via a scheme of arrangement.
Perpetual is offering 0.1495 Perpetual shares for every share in The Trust Company and The Trust Company is also planning to declare a special dividend of 22c per share.
This proposal is said to be superior to the competing bid by Equity Trustees, which is currently on foot.
A KWM team led by Craig Semple has been advising The Trust Company since Equity Trustees launched its takeover bid.
Other key members of the KWM team are partner Stephen Minns, senior associate Marissa Bendyk and solicitor Robert Kelly. Partner Darren McClafferty is providing specialist tax advice.
