Hogan Lovells advises American Midstream on its acquisition by ArcLight
A Denver-based corporate team led by Hogan Lovells partner George Hagerty and associate Jesse Menlove has advised American Midstream on its acquisition by ArcLight.
The firm advised the Conflicts Committee of the board of directors of American Midstream on the deal, which saw High Point Infrastructure Partners, a portfolio company of Arclight Capital Partners, acquire 90 per cent and control of American Midstream GP, the general partner of American Midstream, and 100 per cent of the subordinated units of American Midstream from AIM Midstream Holdings, an affiliate of American Infrastructure MLP Funds.
In addition, High Point concurrently purchased $90m of newly issued Series A convertible preferred units of American Midstream with a combination of cash and assets.
Hogan Lovells also assisted in the overall negotiation of the transaction.
