Corporate lawyers from Walker Morris advise Branded3 on its acquisition by St Ives
Corporate lawyers from Walker Morris have advised to co-founders of search engine optimisation and digital marketing agency Branded3 on its acquisition by St Ives plc for £10.7m.
As part of the acquisition, Branded3 will still operate as a subsidiary, led by the existing management team with no changes to the company structure or office locations. It will continue to service its UK and international client base, which includes Ladbrokes and Virgin Holidays.
St Ives has agreed to acquire all of the issued share capital of Branded3 on a cash and debt-free basis for £10.7m, to be satisfied by approximately £8.6m in cash and approximately £1.4m in St Ives shares.
The Walker Morris corporate group, led by partner Debbie Jackson and Tom Mieszkowski, advised the vendors Vin Chinnaraja and Patrick Altoft.
