NCTM assists Rhone Capital fund in investment agreement with Dixons
Venice Holdings, a company controlled by the Rhone Capital fund and owned by the Silvestrini family, has signed an investment agreement with Dixons that will see the entire share capital of Unieuro and SG distribution (Marco Polo- Expert) vested in a common Newco. NCTM advised on the deal.
The common Newco will be 85 per cent owned by Venice Holdings and 15 per cent owned by Dixons. The transaction, which is expected to be finalised by the end of November 2013, is subject to antitrust.
Venice Holdings was assisted by NCTM partners Simone De Carli (corporate), Barbara Aloisi (tax) and Eugenio Siragusa (banking), salary partners Roberta Russo (labour) and Emilio De Giorgi (antitrust) and associates Serena Trella and Andrea Mantellini.
Dixons was advised by Linklaters with a team led by Giovanni Pedersoli.
