NCTM advises on joint venture between publishers Messaggerie and Feltrinelli
NCTM Studio Legale Associato has advised Messaggerie Italiane on a joint venture agreement with Effe 2005 — Finanziaria Feltrinelli (Gruppo Feltrinelli) aimed at creating a new leading player in the book distribution industry in Italy, with 70 million volumes a year.
The joint venture will be 70 per cent owned by Messaggerie Italiane and 30 per cent owned by Feltrinelli.
Gruppo Feltrinelli is one of the main Italian publishing houses and operates on the entire book value chain, including publishing, promotion, wholesale and retail distribution through its chain of book stores, Librerie Feltrinelli. Messaggerie Italiane is the largest independent distributor in the country and the first Italian online bookseller.
NCTM assisted Messaggerie Italiane, with a team led by Alberto Toffoletto (senior partner) assisted by Matteo Trapani (partner), with the support of Lucia Corradi and Eleonora Parrocchetti (associates). Luca Toffoletti (partner) and Emilio De Giorgi (associate) advised on the antitrust issues involved in the joint venture.
