NCTM acts as legal adviser in the 100 per cent acquisition of Inver Group
DLA Piper and NCTM Studio Legale Associato are legal advisers in the 100 per cent acquisition of Inver Group, from the Domenichini family, by the Valspar Corporation, a manufacturer of paints and coatings.
The acquired group, an industrial coatings manufacturer in Europe, is headquartered in Bologna and has subsidiaries in the UK, France, Germany, Poland, Russia and Greece. The completion of the acquisition, expected to take place in August 2013, is subject to the usual conditions precedent, including approval from the competent antitrust authorities.
DLA Piper advised the Valspar Corporation with a multidisciplinary team managed from Italy and with the support of more than 30 professionals located in the various DLA Piper offices involved (London, Liverpool, Frankfurt, Paris, Warsaw and Moscow) and its partnered firm in Athens.
The DLA Piper team was led by Goffredo Guerra, partner in the Italian corporate department, and Christian Iannaccone. Also involved in the project were partner Federico Vanetti and associate Carmen Chierchia, who worked on environmental matters; Fabrizio Morelli, partner in the employment department; and Pasquale Siciliani, who worked on matters concerning labour law.
NCTM assisted the vendor family, with a team led by senior partner Paolo Montironi and made up of partner Matteo Trapani and associate Lucia Corradi. Francesca Bonino, a senior adviser, worked on environmental matters.
Studio Poggi from Bologna advised the vendor in relation to tax matters.
