Capital markets and structured products
In spite of the lack of capital markets activity, we are on the forefront of new developments, both on the equity and debt side. We have assisted commercial and investment banks in promoting alternative fundraising strategies. BDK is a pioneer among Serbian law firms in advising on transactions with financial derivatives within the auspices of the ISDA Master Agreement and related ISDA documentation. We contributed to the inclusion of the close-out netting provisions in the new Serbian insolvency legislation enacted at the end of 2009. Members of our derivatives team consistently educate themselves in this ever-evolving subject and have completed fundamental ISDA seminars.
As rising public debt opens the door for greater use of private-public partnerships, BDK is able to offer its experience in project finance. We have advised clients on large infrastructure PPPs in Serbia, Montenegro and Republika Srska (Bosnia and Herzegovina) that were structured on a project finance basis in energy, road, network infrastructure and utilities sectors.
Insolvency and restructuring
Our insolvency and restructuring practice is a cross-over between our finance and litigation departments. We represent insolvency creditors, help debtors prepare reorganisation plans, negotiate pre-insolvency restructurings and represent clients in insolvency-related litigation for claim determination or avoidance of vulnerable transactions.
