Conyers Dill & Pearman advises Kofax on corporate restructuring
Conyers Dill & Pearman has advised Kofax on a corporate restructuring by way of a scheme of arrangement under the UK Companies Act 2006 between Kofax and its shareholders, as sanctioned by the High Court of England and Wales.
The scheme resulted in the creation of a new Bermuda incorporated holding company, Kofax Ltd, for the Kofax Group and the introduction of its shares to the premium segment of the Official List and to trading on the main market of the London Stock Exchange.
In addition, Kofax Ltd made an initial public offering of its common shares on the NASDAQ global select market in the US.
