Conyers advises EPL Oil & Gas on acquisition by Energy XXI (Bermuda)
Conyers Dill & Pearman has provided Bermuda legal advice to EPL Oil & Gas, a Delaware corporation, which was acquired by Energy XXI (Bermuda) by way of a merger under Delaware law, creating the largest publicly traded independent oil and gas producer on the Gulf of Mexico Shelf.
Energy XXI acquired EPL’s outstanding shares for a total consideration of $2.3bn (£1.3bn), including debt assumption, cash and approximately 23 million common shares of Energy XXI.
Energy XXI is an oil-focused company with assets in south Louisiana and on the Gulf of Mexico Shelf, where they operate five of the largest oilfields. EPL was an independent oil and natural gas exploration and production company headquartered in Houston, Texas.
