A&O advises Mitsubishi on reorganisation of distribution activities in Germany

Allen & Overy (A&O) has advised Japanese carmaker Mitsubishi Motors on the reorganisation of its distribution activities in Germany.

Mitsubishi Motors Europe, a subsidiary of Mitsubishi Motors Corporation, sold and transferred the majority of the shares in its wholly owned subsidiary Mitsubishi Motors Deutschland to Frey Automobil Holding Deutschland, a member of Emil Frey Group.

Mitsubishi Motors Europe retains a strategic minority shareholding in the company, which has been renamed MMD Automobile. In this context, A&O also advised on the joint venture agreement.

The transaction was approved by the European Commission.

The international A&O team was led by partner Dr Astrid Krüger and supported by senior associate Dr Sten Frenzel (both M&A/corporate, Munich). The team also included partners Florence Ninane (competition, Paris) and Thomas Ubber (employment, Frankfurt), as well as senior associate Dr Bettina Scharff (employment, Frankfurt) and associate Athene Chanter (competition, Paris).

Active on the side of Mitsubishi Motors in house was Yoko Fukae, general manager in the legal department.
