Davis Polk, Shearman advise on £5bn Brazilian IPO

Shearman & Sterling has advised the underwriters on Brazil’s biggest IPO to date - the $8bn (£5bn) listing of Banco Santander’s Brazilian subsidiary.

Sao Paulo-based partner Andrew Jánszky led on the deal alongside partners Robert Evans and Robert Ellison. They advised lead banks Santander Investment, Credit Suisse, Bank of America Merrill Lynch, UBS and BTG Pactual.

They were assisted by counsel Charles Gittleman and Russell Sacks and associates Tobias Stirnberg, Jennifer Morton and Tatiana Tafarello.

Davis Polk & Wardwell partners Manuel Garciadiaz and Nicholas Kronfeld advised Santander in Spain together with associates Drew Glover and Rosa Neel.

Jánszky said: “We’ve worked for Santander Brazil for five years now on the issuer side. But Santander Spain wanted to be advised by the lawyers they work with in Spain so we flipped over to the other side.”

Brazilian firms Machado, Meyer, Sendacz e Ópice and Pinheiro Neto advised the underwriters and the issuer respectively with partner Daniel Facó leading at Machado Meyer and Henrique Lang and José Luiz Homem de Mello at Pinheiro Neto.
 
Marco Antonio M. de Araujo Filho and Luciana Levy Beraldo were working on the deal in-house at Santander.
