Corporate deals round-up

Eversheds (Daniel Hall, Chris Tinsley) advised Caudwell Holdings, owner of mobile phone retailer Phones 4U, on the £405m cash sale of its subsidiary Singlepoint (4U) to Vodafone. Vodafone advised by Linklaters (Iain Fenn).

DLA (Charles Cook) advised Rydnal on its £45.9m acquisition of Ryland Group. Ryland advised by Eversheds.

SJ Berwin (Simon McLeod) advised Xenova Group on its £8.48m acquisition of KS Biomedix Holdings. The value of the deal, including deferred
consideration, could be up to £14.94m. Nomura International, advised by Freshfields Bruckhaus Deringer, will make the offer on Xenova’s behalf. CMS Cameron McKenna advised KS Biomedix.

Collyer-Bristow (Paul Sillis) advised the management of Fast Track Group in its buyout of Fast Track Sales from Sports Resource Group (SRG). Norton Rose advised SRG. The deal was part of a larger arrangement whereby Hegira, advised by Addleshaw Goddard, acquired SRG.

CMS Cameron McKenna (Anthony Loring) advised WT Foods on its acquisition of Marston Valley Foods. The firm also advised Bridgepoint, which provided part of the funding for the acquisition. Covington & Burling advised Marston Valley Foods.

Hammonds (Jonathan Jones) advised Walker Group’s shareholders on its acquisition by Westvale Leisure. Osborne Clarke (Hugh Jones) advised Westvale Leisure.

Tite & Lewis (Iain Young) and King & Spalding (John Keffer, Mark Thompson) advised International Surface Preparation on its acquisition of US Filter Corp’s surface preparation business from Violia Environment. European financing and working capital facilities were provided by GMAC Commercial Finance, advised by Allen & Overy. Viola advised by Sutherland Asbill & Brennan.

Linklaters (Graham White) advised private equity house CVC and IG Group Holdings on its £143m recommended cash offer for IG Group, advised by Osborne Clarke.
