Clifford Chance and Freshfields act on PartyGaming-bwin merger

Magic circle duo Clifford Chance and Freshfields Bruckhaus Deringer have bagged the leading mandates advising on the €2bn (£1.7bn) merger of online gaming sites PartyGaming and bwin.

Freshfields is acting for PartyGaming, with corporate partner Christopher Mort leading a team that also included dispute resolution partner Geoff Nicholas.

Bwin is being advised by Clifford Chance alongside Austrian firm Brandl & Talos. The Clifford Chance team is being led by corporate partner Jonny Myers.

The proposed merger will see bwin merged into ParyGaming, which will then take the form of a European Company or Societas Europaea (SE).

Bird & Bird is acting for bwin on due diligence and options advice, with corporate partner Simon Fielder leading.

Mort commented: “We’re particularly pleased to be working on a transaction that’s both cross-border and legally innovative, brining together Gibraltar-incorporated PartyGaming with Austria-incorporated bwin through an SE merger.”
