Investment funds

For many years Chevalier & Sciales has created alternative UCITs, traditional UCITS, master-feeder UCITS IV structures and SIFs on behalf of an institutional clientele including banks and leading fund management groups. We have been involved in the restructuring of UCITS management companies and represented clients in major litigation related to investment funds.

The following cases we have handled the list is non- exhaustive stand out because of their significance or complexity.

  • Establishment of an alternative UCITS fund (the so-called Newcits) for a Swiss manager.
  • Establishment of a SIF platform. Creation of around 24 sub-funds.
  • Launching of a retail fund platform in the form of sophisticated UCITs for a major European bank.
  • Restructuring of an offshore master feeder structure into a UCITS IV master feeder structure.
  • Launching of a private equity fund investing in small and medium-sized enterprises (SMEs) with principal operations in Southeast Asia for institutional investors (launching which received a large press coverage 2010).
  • Launching of an investment fund investing in US life settlements for a US promoter.
  • Assisting clients with the set-up of various Luxembourg umbrella specialised investment funds (SIFs) and SICARs.
  • Acted as counsel to a large investment bank in relation to the closing of compartments of a Luxembourg FCP and counsel to their SICAV (combined AUM of around USD900m).
  • Acted as counsel for Luxembourg SICAVs in relation to the drafting of distribution agreements for the distribution of units throughout Europe.
  • Represented defrauded institutional, hedge fund and high-net-worth investors in Maddoff-related litigation.
  • Launching of a SIF platform that currently has around 24 sub-funds.
  • Restructuring a single-compartment SICAR into a multiple-compartment SICAR.
