Clifford Chance and Latham & Watkins have advised a six-strong private equity consortium on its EUR7.5bn recommended cash offer for media giant VNU.
AlpInvest, Blackstone, Carlyle, Hellman & Friedman, Kohlberg Kravis & Roberts and Thomas H. Lee had their offer accepted by VNU yesterday following a meeting of the company’s supervisory board.
Citigroup, Deutsche Bank, and JPMorgan along with ABN Amro and ING will provide the financing for the all-cash offer.
VNU was advised by regular counsel Simpson Thacher & Bartlett and De Brauw Blackstone Westbroek. Both firms also advised VNU on its aborted bid for IMS Health Incorporated earlier this year.
Clifford Chance's Dutch partners Thijs Alexander in Amsterdam and Joachim Fleury, from London, led on the deal with assistance from senior associate Hans Beerlage.
The Latham team’s primary partners were corporate partners Ronald Hopkinson, Raymond Lin, Jennifer Perkins and Gregory Ezring, and tax partner David Raab.
