CC and Latham act on Intesa Sanpaolo's £10bn bond offer

Clifford Chance and Latham & Watkins have bagged roles on Intesa Sanpaolo’s $15bn (£9.6bn) medium-term note programme bond offer.

Latham acted for the Italian bank on the bond issue, fielding a team led by London corporate partner Michael Immordino and Milan corporate partner Jeff Lawlis. Fellow Milan corporate partner Antonio Coletti advised on Italian law, while New York partner Jiyeon Lee-Lim advised on tax matters.

Clifford Chance landed the role of adviser to the joint lead managers of the initial issuance of $1bn (£638m) - a bank group comprising Banca IMI, Bank of America Merrill Lynch, Citigroup and JPMorgan.

The magic circle firm’s team was led by finance partners Bob Trefny in London and Filippo Emanuele in Milan. Another Milan partner, Franco Grilli Cicilioni, advised on Italian law, while tax advice came from Milan tax partner Carlo Galli.

The initial $1bn offer is thought to be the first direct dollar denominated issuance by an Italian issuer in the US. The full programme will offer notes to institutional investors both inside and outside the US.

The senior and subordinated notes have maturities of at least nine months, with the first due in 2015.
