A massive deal for Linklaters' long-term client Billiton, as it merges through a dual-listed companies structure. Shareholders in each company will not be required to exchange or tender their existing shares, and each share in BHP and Billiton will have the equivalent effective economic and voting interest in the combined group.
The Linklaters team included corporate partners Charlie Jacobs, David Cheyne and Lucy Fergusson, tax partner Ian Bowler, environment partner Vanessa Havard Williams and Brussels antitrust partner Alec Burnside.
Linklaters previously advised the mining company in 1994 when Gencor acquired the Billiton assets from Shell; and then again in 1997, when Billiton was spun out of Gencor and listed on the London Stock Exchange.
This merger creates one of the world's largest diversified global resources groups, listed in London and Australia and with a secondary listing in Johannesburg.
